·       Not create multiple accounts without our permission

·       Not use another person's account without permission

If you register a business account, you confirm that:

·       You will comply with all applicable business regulations and tax obligations

6.4 Account Closure

You may close your account at any time by contacting us. We may close your account if you breach these Terms or if your account has been inactive for an extended period (we will notify you before doing so).

Account closure does not affect:

·       Outstanding orders or contracts

·       Payment obligations

·       Your statutory rights

·       Any provisions of these Terms intended to survive termination

 

7. Placing Orders

7.1 Order Process

When you place an order through our Website:

1.         You submit artwork and specifications through our platform

2.         We may provide a proof or order confirmation (depending on product and order size)

3.         You confirm the order details

4.         We send an order confirmation by email

5.         We begin production

Important: Your order confirmation email acknowledges receipt of your order but does not constitute acceptance. We accept your order when we begin production or dispatch the goods, whichever comes first.

7.2 Order Accuracy

You are responsible for:

·       Ensuring all artwork, specifications, and order details are correct before confirming your order

·       Reviewing any proofs we provide

·       Checking that the product type selected is suitable for your intended use

·       Verifying delivery addresses and contact information

We will:

·       Provide clear product descriptions and specifications

·       Offer guidance on product selection where appropriate

·       Provide proofs for large or complex orders where feasible

·       Confirm order details before production begins

7.3 Customised Products

Most of our products are made to order based on your specifications and artwork. This means:

·       Products are manufactured specifically for you

·       They cannot be resold to other customers

·       They are exempt from the standard 14-day cooling-off period for distance sales (see Section 10)

·       You will be asked to acknowledge this when placing your order

7.4 Order Acceptance

We reserve the right to decline or cancel orders in the following circumstances:

·       The artwork infringes intellectual property rights or is unlawful

·       We cannot verify payment information

·       Products are unavailable or discontinued

·       We suspect fraudulent activity

·       Pricing or product information was incorrect due to an error (see Section 8.3)

·       You have breached these Terms previously

·       Accepting the order would cause us to breach legal obligations

If we cancel your order before production begins, we will refund any payment received in full within 14 days.

7.5 Order Modifications

Before production starts: Contact us immediately if you need to modify or cancel an order. We will do our best to accommodate changes but cannot guarantee this once the order has been submitted.

After production starts: Orders cannot be modified or cancelled once production has begun, as products are being manufactured to your specifications.

You will receive notification when your order enters production.

 

8. Pricing and Payment

8.1 Prices

·       All prices are shown in British Pounds (GBP)

·       Prices include VAT where applicable (VAT rate will be displayed)

·       Prices exclude delivery charges unless stated otherwise

·       Delivery charges will be clearly shown before you complete your order

8.2 Price Changes

·       Prices on the Website may change at any time without notice

·       Price changes do not affect orders you have already placed and paid for

·       If we discover a pricing error before accepting your order, we will contact you to confirm whether you wish to proceed at the correct price

8.3 Pricing Errors

If we discover a significant pricing error after accepting your order but before production:

·       We will contact you as soon as possible

·       You can choose to proceed at the correct price or cancel the order

·       If you cancel, we will refund you in full within 14 days

·       We are not obliged to supply products at the incorrect lower price

8.4 Payment

Accepted payment methods:

·       Credit and debit cards (Visa, Mastercard, American Express)

·       PayPal

·       Bank transfer (for approved business accounts)

·       Other payment methods as displayed at checkout

Payment terms:

·       Retail orders: Payment required in full at time of order

·       Business accounts: Payment terms as agreed in your account setup (typically payment on order or 30-day terms for approved accounts)

Payment security:

·       All card payments are processed securely through our payment service providers

·       We do not store your full card details

·       Your payment information is encrypted during transmission

8.5 Late Payment (Business Accounts Only)

For business accounts with credit terms:

·       Payment is due within the agreed terms (typically 30 days from invoice date)

·       Late payment may incur interest charges under the Late Payment of Commercial Debts (Interest) Act 1998

·       We may suspend your account or decline future orders if payment is overdue

·       We reserve the right to pursue legal action for unpaid invoices

 

9. Product Information

9.1 Product Descriptions

We make every effort to ensure product descriptions, specifications, and images are accurate. However:

·       Colours shown on screen may vary from actual products due to monitor settings

·       Product specifications are provided as guidance and may vary slightly

·       We reserve the right to make minor modifications to products that do not affect their fundamental characteristics

9.2 Samples and Proofs

·       We may provide proofs for large or complex orders

·       Samples can be requested (charges may apply)

·       Approval of a proof confirms your acceptance of the design, colours, and specifications shown

·       Once you approve a proof, you cannot claim the product does not match the description if it matches the approved proof

9.3 Product Availability

·       We aim to fulfil all orders, but cannot guarantee product availability

·       Some products may be out of stock or discontinued

·       If a product becomes unavailable after you order, we will contact you to offer an alternative or refund

9.4 Technical Guidance

We provide technical guidance, application instructions, and product recommendations in good faith based on our experience. However:

·       You are responsible for ensuring products are suitable for your specific application

·       We recommend testing on a sample garment before full production runs

·       If you are unsure about product suitability, please contact us before ordering

 

10. Your Cancellation and Return Rights

This section provides a summary only. For full details, please see our Refund & Returns Policy.

10.1 Distance Selling Cancellation Rights (14-Day Cooling-Off Period)

For non-customised products purchased online, you have the right to cancel your order within 14 days of receiving the goods, for any reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

However, this right does NOT apply to:

·       Goods made to your specifications (customised products)

·       Goods personalised for you

Most Supacolour products are customised because they are printed with your supplied artwork to your specifications. When you place an order for customised products, you will be asked to acknowledge that:

·       These goods are being made specifically for you

·       They are exempt from the 14-day cancellation right

·       You still have full rights if the goods are faulty or not as described

10.2 Faulty Products

You have legal rights if products are:

·       Faulty or defective

·       Not as described

·       Not fit for purpose

Timeline of rights:

·       Within 30 days: Full right to reject and receive a full refund

·       30 days to 6 months: Right to repair or replacement (refund if these are unsuccessful)

·       Up to 6 years: Right to remedy if fault existed at time of purchase

10.3 Non-Faulty Returns

We do not accept returns for:

·       Change of mind on customised products

·       Incorrect orders where you confirmed the specifications

·       Products damaged through misapplication or misuse

 

11. Delivery

11.1 Delivery Information

Before you order, we will provide:

·       Estimated delivery times

·       Delivery costs

·       Available delivery options

·       Geographic restrictions (if any)

Delivery times:

·       Are estimates only, not guarantees

·       Start from when your order enters production

·       May be affected by factors beyond our control (courier delays, customs, etc.)

11.2 Delivery Address

You are responsible for:

·       Providing an accurate and complete delivery address

·       Ensuring someone is available to receive the delivery

·       Notifying us of any special delivery requirements

If delivery fails due to incorrect address or unavailability:

·       We may charge for re-delivery

·       Risk passes to you from the first attempted delivery

·       We are not liable for delays caused by delivery failures

11.3 Risk and Title

For consumer customers:

·       Risk passes to you when you (or someone you nominate) receives the goods

·       Ownership passes to you when we receive full payment, and the goods are delivered

For business customers:

·       Risk passes when goods are handed to the courier

·       Ownership passes when we receive full payment

11.4 Delivery Problems

Delayed delivery:

·       Contact us if your order hasn't arrived within the estimated timeframe

·       We will investigate with the courier

·       If significantly delayed, you may have the right to cancel (see Consumer Rights Act 2015)

Lost or damaged in transit:

·       Inspect packages on arrival

·       Report any damage to packaging or contents within 48 hours

·       We will arrange replacement or refund for items lost or damaged in transit

 

12. Intellectual Property and Artwork

12.1 Your Artwork

When you submit artwork to us, you represent and warrant that:

·       You own the copyright or have permission to use all elements of the artwork

·       The artwork does not infringe any third party's intellectual property rights

·       The artwork does not contain unlawful, defamatory, or offensive content

·       You have authority to submit the artwork and place the order

12.2 Indemnity for Artwork

You agree to indemnify and hold us harmless against any claims, losses, damages, or expenses (including legal fees) arising from:

·       Intellectual property infringement related to your artwork

·       Breach of your warranties regarding artwork ownership

·       Use of the artwork as you have instructed

This means if someone claims we infringed their rights by printing your artwork, you are responsible for any resulting costs or damages.

12.3 Our Right to Refuse Artwork

We reserve the right to refuse to process or print any artwork if we reasonably believe it:

·       Infringes intellectual property rights

·       Contains illegal or offensive content

·       Violates these Terms or any applicable laws

·       Could damage our reputation or business

We will notify you if we decline to process your artwork and offer a full refund if no alternative is acceptable.

12.4 Use of Your Artwork

For order fulfilment:

·       You grant us a non-exclusive license to use your artwork solely for producing your order

·       We may reproduce, modify (for technical purposes only), and print your artwork

·       This license ends when we complete your order, except as noted below

For business purposes:

·       We may retain your artwork for record-keeping and quality assurance purposes

·       Retention periods are set out in our Privacy Policy

·       We will not use your artwork for marketing without your explicit permission

·       We will not sell or license your artwork to third parties

Marketing use:

·       We may request permission to display your completed products in our portfolio or marketing

·       This is always optional and requires your separate consent

·       You can withdraw consent at any time

12.5 Our Intellectual Property

·       Proper labelling and safety compliance for finished products you sell

13.4 Product Use

·       Using products only for their intended purpose

14. Our Responsibilities and Liability

·       Indirect or consequential losses that were not foreseeable when you placed your order

14.4 Limitation of Liability (Business Customers Only)

If you are using our Services for business purposes:

·       We do not exclude liability for the matters in Section 14.2

·       Our total liability for any claim is limited to the value of the specific order giving rise to the claim

·       We are not liable for loss of profits, loss of business, loss of revenue, or loss of anticipated savings

·       We are not liable for indirect or consequential losses

These limitations do not apply to consumer customers - your statutory rights are unaffected.

14.5 Reasonableness

We believe all limitations and exclusions in these Terms are reasonable. If any court or authority decides they are not reasonable, only that specific provision will not apply, and the rest of these Terms will remain in effect.

constitute the entire agreement between you and us regarding your use of our Services.

For business customers:

·       Both parties agree to the exclusive jurisdiction of the courts of England and Wales

20.5 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

Any waiver must be in writing and signed by an authorized representative.

20.6 Assignment

You cannot transfer your rights or obligations under these Terms to anyone else without our written consent.

We may transfer our rights and obligations to:
